BLURB BUSINESS-TO-BUSINESS (B3) TERMS AND CONDITIONS
By signing up for, or using the Blurb business-to-business program ("B3 Program"), you agree to comply with and be bound by the following terms and conditions for the B3 Program (the "B3 Terms"). The B3 Terms are part of, and are hereby incorporated by reference into, the Blurb Terms and Conditions (the "Agreement") that can be found here: http://www.blurb.com/about/tandcs. Unless otherwise defined herein, capitalized terms shall have the meanings assigned to such terms in the Agreement; the B3 Program is part of the Services, as defined in the Agreement. If there is any conflict between the B3 Terms and the Agreement, these B3 Terms will govern solely with respect to the B3 Program. If you are an individual using the B3 Program on behalf of a company, you represent and warrant that you have all necessary authority to bind your company to the Agreement, including the B3 Terms.
PLEASE READ THE B3 TERMS CAREFULLY BEFORE USING THE B3 PROGRAM, OR PARTS THEREOF. THE AGREEMENT, INCLUDING THE B3 TERMS, CREATES A LEGALLY BINDING CONTRACT BETWEEN YOU (THE INDIVIDUAL USING THE B3 PROGRAM, OR THE COMPANY ON WHOSE BEHALF YOU ARE USING THE B3 PROGRAM) AND BLURB.
1. YOUR B3 MEMBERSHIP
In order to use the B3 Program (and to become a "B3 Member"), you must create a B3 membership account by registering on the Website ("B3 Account").
1.1 B3 Account. You agree that you will only share access to the B3 Account with other individuals who need to use the B3 Account in direct connection with your professional use of the Services ("Authorized Persons"). You are not allowed to share your B3 Account with any person other than the Authorized Persons, and any such sharing will constitute a breach of the Agreement. You agree to notify us immediately if you suspect that your B3 Account was used, or is about to be used, by any unauthorized person, in any unauthorized way, or in breach of the Agreement. You are solely responsible for any and all use of your B3 Account, including any use by Authorized Persons.
1.2 Term and Termination. The B3 Terms shall remain in full force and effect during the term of your B3 membership; your initial membership term of twelve (12) months will automatically renew for successive additional twelve (12) month terms on each anniversary of the day of your registration as a B3 Member, unless you terminate your B3 Account and end your B3 membership at least thirty (30) days prior to that anniversary; if you are a B3 charter member, your B3 charter membership will end on December 31, 2008 and you will have the option to continue to use the B3 Program with a regular membership starting on January 1, 2009. You may delete your B3 Account and end your B3 membership at any time, for any or no reason, by contacting B3 support. Please note that if you terminate your B3 Account prior to the end of the then-current term of your B3 membership, Blurb will not refund any membership fees you have already paid for the remainder of the then-current term. Blurb may terminate your B3 Account (a) for convenience by giving you thirty (30) days' notice by sending you an e-mail to the e-mail address stored for your B3 Account in which case Blurb will refund fees already paid by you for the remainder of the then-current term of your membership, or (b) immediately without any notice, if you are in breach of the Agreement, in which case Blurb will not refund any membership fees you have already paid for the remainder of the then-current term.
2. B3 SERVICES
2.1 General scope. Blurb offers B3 Members a variety of additional features and options that are further described in the "B3 Program Description", the most recent version of which is available here: http://www.blurb.com/b3info.
2.2 B3 Custom Workflow. As part of the B3 Program, Blurb offers a specific custom workflow ("B3 Custom Workflow") to create, print, and offer Books that use features of the B3 Program and are made using this B3 Custom Workflow ("B3 Books"). The B3 Custom Workflow is further described in the B3 Program Description. As part of the B3 Custom Workflow, Blurb offers color managed workflow for all Book sizes to B3 Members who follow the color management procedures provided by Blurb. In order to use the B3 Custom Workflow and create, print, and offer B3 Books, you have to use the Blurb Account that was used to create your B3 Account, for every order that you place for the respective B3 Book.
2.3 Support. Blurb offers support related to the B3 Program as set forth in the B3 support schedule that Blurb will make available to B3 Members and that is subject to changes from time to time. As further described in the B3 support schedule, Blurb offers (1) telephone support in the English language for B3 Members, (2) custom quotes by telephone for orders of B3 Books, and (3) e-mail support in connection with the B3 Program.
2.4 Downloads. As part of the B3 Program, Blurb will offer you certain computer files for download that you may use as part of the B3 Program ("B3 Files"), including printer profiles. Unless otherwise specified in connection with the download, installation, or use of a specific B3 File, Blurb hereby grants you a non-exclusive, worldwide, royalty-free and full paid-up license to download, install, and execute the B3 Files solely in connection with your use of the B3 Program and only while you are a B3 Member. Please make sure that you always use the latest version of any B3 File that is offered by Blurb for download, as (a) newer versions of B3 Files may contain corrections and/extended features, and (b) any support Blurb offers to B3 Members in connection with any B3 Program feature that uses a B3 File is only provided to B3 Members who use the latest version of the respective B3 File.
2.5 B3 Web Area. Blurb offers additional information and materials, including the B3 Files and B3 tutorials, on the B3 web area that can be found here: http://www.blurb.com/business_to_business/dashboard.
3. MEMBERSHIP FEES AND B3 BOOK CHARGES. Blurb reserves the right to charge an annual membership fee for your participation in the B3 Program. B3 Books ordered through the Blurb Bookstore will incur an additional charge as set forth in the pricing schedule of the B3 Program that Blurb will make available to B3 Members and that is subject to changes from time to time. You agree that you will pay any membership fee and per-book charge to Blurb as set forth in the B3 Program Description.
4. PUBLICITY. You agree that Blurb has the right to identify your B3 Books, which you choose to make public to other Users in the Blurb Bookstore, as B3 Books and that Blurb might make them available to other Users in specific parts of the Bookstore, together with other B3 Books that you, or other B3 Members, are offering.
5. AMENDMENTS. The B3 Terms may be modified by us from time to time. If we make material changes to the B3 Terms, we will notify you by sending an e-mail to your e-mail address, as specified in your Account. You agree that such amended B3 Terms will be effective thirty (30) days after being sent to you, and your continued use of the B3 Services after that time shall constitute your acceptance of the amended B3 Terms.
6. OTHER. The Agreement, including the B3 Terms, constitutes the entire agreement between you and us regarding the use of the B3 Services. Please contact us with any questions regarding the B3 Terms and the B3 Program by contacting us via http://www.blurb.com/help/general_support.
